These Terms are a binding agreement between you and TerraVox Manufacturing LLC. They include important provisions that affect your legal rights, including a limit on our liability (Section 15) and an agreement to resolve disputes through binding individual arbitration and a waiver of class actions (Section 19). You can opt out of arbitration within 30 days.
Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the ITC Resource Center at itcusa.com/resource, including all content, tools, user accounts, the Earl AI assistant, and any paid features (together, the "Service"). By accessing or using the Service, or by creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
We may update these Terms as described in Section 18. Your continued use of the Service after an update means you accept the updated Terms.
Who we are
The Service is operated by TerraVox Manufacturing LLC, doing business as Innovative Tractor Components Company ("ITC," "we," "us," or "our"), a limited liability company located in New York. You can reach us using the details in Section 21.
Eligibility and your account
- Age. You must be at least 18 years old to use the Service or create an account. By using the Service, you represent that you are 18 or older.
- Accurate information. When you create an account, you agree to provide accurate information and to keep it current.
- Your account is yours. You are responsible for your account and for all activity under it. Keep your password confidential, and tell us promptly if you believe your account has been used without your permission. You may not share your account or let anyone else use it.
- One person. Accounts are for individuals. Do not create an account for anyone else or using false information.
We may refuse, suspend, or close accounts as described in Section 17.
The Service, free and paid features
The Service includes free tractor reference content (specifications, comparisons, videos, and guides) and optional features that require an account.
- Earl, our AI assistant. Earl answers tractor questions and runs on credits (see Sections 5 and 9). You can ask a limited number of questions without an account; after that, you sign in and receive a starting balance of free credits.
- Memory. Earl offers an optional memory feature you can turn on or off at any time. Memory is provided at no additional charge.
- Credits. Some features consume credits. You get free credits to start and can buy more (see Section 5).
We may add, change, or remove features at any time. We may also set or change limits on the Service, such as how often you can make requests, to keep it reliable and to prevent abuse.
Credits, pricing, and payment
Credits are a prepaid balance used to access certain features, such as asking Earl questions.
- Buying credits. You can buy credits in packs. The current packs, prices, and the number of credits each includes are shown at checkout before you pay. Prices are in U.S. dollars.
- Payment processor. Payments are processed by a third-party payment processor. By purchasing, you authorize the charge to your selected payment method and agree to the processor's terms. We do not receive or store your full card number.
- Authorization. You represent that you are authorized to use the payment method you provide.
- Taxes. Prices may not include applicable taxes. You are responsible for any taxes that apply to your purchase, which may be added at checkout.
- Pricing changes. We may change prices and the credits included in a pack at any time. Changes apply to future purchases and do not affect credits you have already bought.
No refunds; credits have no cash value
- No cash value. Credits have no monetary value, are not money or a stored-value instrument, cannot be redeemed for cash, and are not transferable or resellable.
- Using credits. Credits are consumed when you use paid features. Once a feature runs (for example, Earl generates an answer), the credits for it are used and are not returned, including if you are not satisfied with the result or if you reset or clear a conversation.
- Purchased credits do not expire while your account is open. Free or promotional credits may expire or be subject to additional conditions, which we will make clear when we offer them.
- If your account closes. If you close your account, or if we terminate it for a violation of these Terms, any remaining credits are forfeited and are not refundable, except where required by law.
Auto-refill
If you turn on auto-refill, you authorize us and our payment processor to automatically charge your saved payment method to add more credits when your balance falls below a threshold. Auto-refill continues until you turn it off, which you can do at any time in your account settings. Turning it off stops future automatic charges but does not refund charges already made. We will notify you before making a material change to how auto-refill works.
Acceptable use
When using the Service, you agree not to:
- break the law, infringe anyone's rights, or use the Service for any unlawful, harmful, or fraudulent purpose;
- copy, scrape, harvest, or bulk-download content except as normal personal browsing allows, or use automated tools to access the Service beyond ordinary use;
- resell, sublicense, or commercially exploit the Service, credits, or content without our written permission;
- reverse engineer, decompile, or attempt to extract source code, or probe, scan, or test the vulnerability of the Service;
- interfere with or disrupt the Service, circumvent rate limits, security, or access controls, or place an unreasonable load on our systems;
- misuse the AI assistant, including attempting to generate unlawful, harmful, or abusive content, to extract training data, or to impersonate the Service;
- upload or transmit malware, or submit false, misleading, or infringing content; or
- use another person's account or payment method without authorization.
We may investigate and take action, including suspending or terminating access, for any violation.
Earl and AI-generated content
Earl uses artificial intelligence to help you research tractors. You understand and agree that:
- It is general information, not advice. Earl's responses are for general informational purposes only and are not professional, legal, financial, mechanical, or safety advice.
- It can be wrong. AI-generated content may be inaccurate, incomplete, or out of date. Do not rely on it for any purchase, repair, operation, or safety decision. Always confirm important details with the manufacturer, a qualified professional, or your dealer before acting.
- Your inputs. You are responsible for what you submit to Earl. Do not submit anyone's sensitive personal information, and do not submit anything you do not have the right to share.
Section 14 (Disclaimers) and Section 15 (Limitation of liability) apply fully to Earl and all AI-generated content.
Accuracy of specifications and content
Tractor specifications, comparisons, and other reference content are compiled from manufacturer documentation and other sources and are provided for general research. Specifications change, sources differ, and errors happen. We do not warrant that any specification, comparison, price, availability, or other content on the Service is accurate, complete, or current. Before making a purchase or other important decision, confirm the details directly with the manufacturer or an authorized dealer. The Service is not affiliated with, endorsed by, or sponsored by any tractor manufacturer, and manufacturer names and models are used only for identification and comparison.
Our intellectual property
The Service, including its design, text, graphics, compilations of data, software, and the "ITC" and Resource Center branding, is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial research. You may not copy, modify, distribute, sell, or create derivative works from the Service or its content except as expressly permitted. Third-party trademarks, product names, and video content belong to their respective owners.
Your submissions and feedback
If you submit content to the Service (for example, questions to Earl, a model request, an error report, or feedback), you keep any rights you have in it, and you grant us a worldwide, royalty-free, non-exclusive license to use, store, reproduce, and process that content as needed to operate, provide, secure, and improve the Service. You represent that you have the rights to submit it and that it does not violate these Terms or anyone's rights. If you send us suggestions or feedback, we may use them without any obligation to you.
Third-party content, links, and ads
The Service links to and embeds third-party content, such as YouTube videos, manufacturer sites, and dealer sites, and it displays ads, including ads for our own products and ads from third-party advertisers (labeled, for example, "Sponsored" or "ITC Product"). We do not control third-party content, sites, or advertisers and do not endorse them. Your dealings with third parties, including advertisers, are solely between you and them. We are not responsible for third-party content, products, or services.
Disclaimers
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
Limitation of liability
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
Indemnification
You agree to defend, indemnify, and hold harmless TerraVox Manufacturing LLC and its owners, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party.
Suspension and termination
You may stop using the Service at any time, and you may close your account by contacting us. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, to protect the Service or other users, or as required by law.
If your account is terminated for a violation, any remaining credits are forfeited without refund, except where required by law. Sections that by their nature should survive termination will survive, including Sections 6, 9 through 16, and 19 through 21.
Changes to the Service and these Terms
We may change, suspend, or discontinue any part of the Service at any time. We may also update these Terms. When we make material changes, we will update the "Last updated" date above and provide a more prominent notice where appropriate. Changes are effective when posted. If you do not agree to the updated Terms, stop using the Service.
Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.
Binding arbitration and class-action waiver
Please read this carefully. It affects how disputes are resolved.
- Arbitration. You and we agree to resolve any dispute arising out of or relating to the Service or these Terms through binding, individual arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court, except as noted below. The arbitration will take place in New York or another mutually agreed location, or by video or phone where available.
- No class actions. Disputes will be resolved only on an individual basis. You and we waive any right to bring or participate in a class, collective, or representative action.
- Small claims and injunctive relief. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property or Service.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. If you opt out, disputes will be resolved in the courts described below.
For any dispute not subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts located in New York, and you consent to personal jurisdiction there.
General terms
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any prior agreements on that subject.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them, for example in connection with a merger or sale.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may provide notices to you through the Service or by email. You may send notices to us using the contact details below.
